Our work includes designing and developing custom websites, creating user experiences tailored to your goals, integrating third-party tools, producing interactive components, improving existing sites, and offering maintenance and repair. The exact scope for each client is described in the proposal, invoice, or agreement provided before work begins. Any work requested outside that scope will be treated as new or additional service and may require updated terms or billing.
Ownership and Intellectual Property
All custom pages, code, and designs created specifically for your project become your property once payment is complete. You may use, modify, or expand these materials however you choose for your business and growth.
Nextware retains ownership of its own internal intellectual property, including development processes, reusable methods, internal frameworks, and any assets or components not created uniquely for your project. These are the tools we rely on to build reliable and scalable websites, but they are not transferred as redistributable or commercial products. Your website is fully yours, but it may not be resold, repackaged, or marketed as a template or standalone software product. Any third-party tools included in your site—such as hosting, analytics, or external APIs—are governed by their own licensing agreements and may require separate fees managed by you.
Project & Payment Terms
Estimated timelines are provided as guidance and may shift depending on availability, feedback cycles, technical complexity, or external dependencies such as third-party hosting services. Nextware is not responsible for delays caused by outages, platform limitations, or circumstances outside our control. We commit to clear communication and transparency at every step so you always understand project status and next steps.
To create a smooth and productive development experience, you agree to provide accurate information, timely content, access credentials when needed, and responses to approval requests. Your participation is essential to keeping timelines on track and ensuring the website reflects your vision.
Project payments follow the schedule outlined in your proposal or invoice. Retainer payments are due before work begins and ensure development time is reserved for your project. All payments are non-refundable once work has started, as time and resources are allocated immediately. If an invoice becomes overdue, project work may be paused until payment is resolved. Any additional work outside the documented scope will be billed according to the rates listed in your agreement or at the current standard rate.
Revisions are included according to what is outlined in your proposal. Additional revision rounds beyond what is stated, major directional changes, or work requested after final approval may require separate billing. You agree to provide feedback, approvals, and materials in a timely manner. Delayed feedback may slow project progress, but we do our best to keep momentum wherever possible.
After launch, your website may require adjustments, updates, bug fixes, security improvements, or content changes. These services are available through maintenance agreements or billed individually depending on your selected plan. Support following project completion is not unlimited unless explicitly included in your agreement, but assistance is always available as part of our ongoing service philosophy.
Either party may terminate a project or agreement with written notice. All completed work up to the termination date must be paid in full. Work that has not yet been completed will not continue unless a new agreement is made. Portions of retainers used to secure time or labor already performed are non-refundable.
Liability and Warranties
Nextware LLC provides all services on an “as-is” basis. We make every reasonable effort to ensure your website functions reliably, loads efficiently, and offers a positive user experience. However, we cannot guarantee uninterrupted uptime, error-free performance, perfect compatibility on all browsers or devices, or specific results such as increased traffic or revenue. You acknowledge that use of third-party tools, hosting platforms such as Webflow, and other integrations introduce variables outside our control. By working with us, you accept that Nextware is not liable for lost revenue, data loss, security incidents on external systems, or issues caused by edits or modifications made outside our involvement.
Changes to These Terms
We may update these Terms as our services evolve or as laws require. Updates will be reflected with a new “Last updated” date at the top of this page. You are encouraged to review this page periodically.

Yes. Maintenance retainers apply equally to new and existing websites. The team performs code audits, updates dependencies, improves layout errors, reinforces security, and adds incremental improvements as needed. Updates can be handled weekly, with priority tasks such as security, broken links, expired dependencies, and content changes addressed within the retainer hours. Larger feature updates may be added as new scoped items.
How will I communicate with the project developer?
Communication is handled through a central Project Lead. You can request to receive scheduled updates, preview milestones, and change documented deliverables. Channels can include email, a shared workspace, or project management tools depending on your preference.
